Terms and Conditions

1. Definitions

  • 1.1 “Conditions” means these Terms and Conditions of SPACE EDITS.
  • 1.2 “Client” means the person or entity engaging SPACE EDITS to supply Goods or Services.
  • 1.3 “Client Contract” refers to the formal agreement including job details and Contract Value accepted by the Client.
  • 1.4 “Client Contract Terms and Conditions” are the terms attached to the Client Contract.
  • 1.5 “Delivery Site” is the location where Goods and/or Services are to be delivered or installed.
  • 1.6 “Goods” means all products and materials supplied by SPACE EDITS.
  • 1.7 “SPACE EDITS” refers to SPACE EDITS its authorised agents.
  • 1.8 “Contract Value” is the total price agreed upon for Goods and/or Services.
  • 1.9 “Product” includes the design, manufacture, supply, and/or installation of Goods.

2. Scope

  • 2.1 All Goods and Services are subject to these Conditions and the Client Contract.
  • 2.2 These Conditions uphold the Client's statutory rights where applicable.
  • 2.3 Any order, acceptance, or instruction by the Client constitutes agreement to these Conditions.
  • 2.4 These Conditions may only be amended in writing by SPACE EDITS.
  • 2.5 All parties named as the Client are jointly and severally liable.
  • 2.6 No representative of SPACE EDITS may bind the company unless authorised in writing.

3. Prices and Variations

  • 3.1 Prices include GST unless stated otherwise.
  • 3.2 Prices are based on a site being structurally sound, level, plumb, and accessible.
  • 3.3 If conditions deviate, additional charges may apply.
  • 3.4 Delays in order confirmation may result in price changes.
  • 3.5 Estimates are valid for 30 days; revised quotes may be issued after that period.

4. Delivery and Installation

  • 4.1 SPACE EDITS will endeavour to deliver/install on time but is not liable for delays beyond its control.
  • 4.2 Delays caused by the Client's site or contractors may incur additional charges.
  • 4.3 A $1,000 rescheduling fee applies if installation is delayed without 10 working days' notice.
  • 4.4 Waiting time caused by third parties may be charged at $100/hour (incl. GST).
  • 4.5 Difficult site access requiring special handling (e.g., crane) may incur extra costs.

5. Property and Risk

  • 5.1 Goods become the Client’s responsibility upon delivery.
  • 5.2 Ownership remains with SPACE EDITS until payment is made in full.

6. Services

  • 6.1 SPACE EDITS provides design, delivery, and installation into the designated area.
  • 6.2 Unless stated in writing, the following are excluded:
    • Plumbing, electrical, gas work
    • Structural alterations
    • Council consents or certifications
    • Removal of old kitchen
    • Project management fees

7. Payment Terms

  • 7.1 A deposit is due upon contract signing. The balance is payable before delivery/installation.
  • 7.2 Late payments incur 3% monthly interest and debt recovery costs.
  • 7.3 Credit card payments incur a 3.4% fee.
  • 7.4 All payments are applied to interest, then fees, then principal.
  • 7.5 Plans and designs remain SPACE EDITS’ intellectual property until full payment.
  • 7.6 Deposits are non-refundable but covered by our Deposit Protection Guarantee.
  • 7.7 In the event SPACE EDITS cannot fulfil the order, we may refund the deposit or appoint an alternative contractor.

8. Credit Finance

  • 8.1 Where credit finance is used, the final balance is due at Practical Completion, defined as functional installation with only minor omissions.
  • 8.2 Minor omissions include missing toe kicks, hardware, or cosmetic touch-ups.
  • 8.3 These will be rectified promptly and are covered by the Guarantee.
  • 8.4 The Client must sign the Practical Completion form to release payment to SPACE EDITS.

10. Variations

  • 10.1 Any variation must be requested and approved in writing.
  • 10.2 SPACE EDITS may also recommend changes for improvement or compliance.
  • 10.3 Variations may affect price and timeline.
  • 10.4 No variation work will commence without written approval.
  • 10.5 Variation costs are payable immediately upon acceptance.

11. Cancellation

  • 11.1 The Client may cancel only if SPACE EDITS is in material breach and fails to rectify within 20 working days.
  • 11.2 Other cancellations require SPACE EDITS’ written consent.

12. Default

  • 12.1 The Client indemnifies SPACE EDITS for costs incurred in collecting overdue payments.
  • 12.2 SPACE EDITS may suspend work or cancel contracts for non-payment.
  • 12.3 A $100 admin fee may be added if invoices remain unpaid after two months.

13. Consumer Rights

  • 13.1 Where applicable, rights under the Consumer Guarantees Act 1993 and the Fair Trading Act 1986 are upheld.
  • 13.2 If the Client is acquiring Goods/Services for business use, they waive these rights to the extent permitted by law.

14. General

  • 14.1 If a clause is found invalid, the rest remain in effect.
  • 14.2 Failure to enforce a clause does not waive SPACE EDITS' rights.
  • 14.3 These Conditions are governed by New Zealand law.
  • 14.4 SPACE EDITS is not liable for consequential losses.
  • 14.5 Liability is limited to the value of the Goods or Services provided.
  • 14.6 SPACE EDITS may assign or subcontract work.
  • 14.7 Conditions may be updated from time to time.
  • 14.8 Neither party is liable for acts beyond their control (e.g., natural disasters, war, strikes).
  • 14.9 These Conditions shall automatically align with statutory minimum protections under NZ law, should any conflict arise.
